Atlantic Sapphire ASA: Notifiable Transactions in Connection with Private Placement
Miami, Fl, 11 April 2023
Reference is made to the stock exchange notice from Atlantic Sapphire ASA ("Atlantic Sapphire" or the "Company") published on 16 March 2023 regarding the conditional completion of a private placement raising gross proceeds of NOK 595 million (the "Private Placement") through issuance of new shares (the "Offer Shares") in the Company with a subscription price of NOK 5.00 per Offer Share (the "Offer Price"). Reference is furthermore made to the decision by the Company's extraordinary general meeting held on 11 April 2023 to approve the share capital increases in connection with the Private Placement.
The following persons discharging managerial responsibilities and their close associates have been allocated Offer Shares in the Private Placement at the Offer Price:
i) Strawberry Capital AS, a close associate of director Kenneth Jarl Andersen, has been allocated 14,047,540 Offer Shares at the Offer Price, for a total subscription amount of NOK 108,058,000;
ii) ASInvest AS, a close associate of director Andre Skarbø, has been allocated 1,240,000 Offer Shares at the Offer Price, for a total subscription amount of NOK 6,200,000;
iii) Jon-Birger Løvik, Chief Operating Officer, has been allocated 200,000 Offer Shares at the Offer Price, for a total subscription amount of NOK 1,000,000;
iv) Svein Taklo, Chief Development and Infrastructure Officer, has been allocated 50,000 Offer Shares at the Offer Price, for a total subscription amount of NOK 250,000; and
v) Tone Bjørnov, director, has been allocated 10,000 Offer Shares at the Offer Price, for a total subscription amount of NOK 50,000.
