Disclosure of significant shareholding in Atlantic Sapphire ASA

This disclosure is made pursuant to Chapter 4, Section 4-1 of the Norwegian Securities Trading Act, the stock exchange announcement by Atlantic Sapphire ASA on 28th June 2022 regarding a private placement of new shares, and the registered share capital increase. The new shares in the private placement (including the second tranche) were approved by the EGM held on 20th July 2022, and have now been registered with the Norwegian Register of Business Enterprises.

The Pelham Long/Short Small Cap Master Fund Ltd (“the Pelham Small Cap Fund”), has been allocated 7,207,317 shares in the private placement at a price per share of NOK 20.50. The new shares in the private placement (including the second tranche approved by the EGM) have been reflected in the number of shares in issue, and the position of the Pelham Small Cap Fund has increased above the reportable threshold of 10%.

The Pelham Small Cap Fund Ltd has a total shareholding in Atlantic Sapphire ASA of 14,035,908 shares which represents 10.02% of the shares outstanding and voting rights of Atlantic Sapphire ASA, using the new denominator of 140,096,217 shares.

The shares and rights to shares are owned by the Pelham Small Cap Fund which is a collective undertaking controlled by the Investment Manager, Pelham Capital Ltd. Pelham Capital Ltd has discretionary authority for the management of another collective undertaking which holds 1,420,155 shares, which did not participate in the private placement. In aggregate Pelham Capital Ltd exercises control over 15,456,063 shares outstanding and voting rights of 11.03 % of Atlantic Sapphire ASA.
