Notice of the Conclusion of the Agreement on the Acquisition of the Company Atlantic Ulaganja d.o.o. by the Company Atlantic Grupa d.d. and a Session of the Supervisory Board of Atlantic Grupa d.d.

In accordance with the provisions of the Capital Market Act and the Rules of the Zagreb Stock Exchange, Atlantic Grupa d.d. (hereinafter referred to as the Company) announces that on August 20, 2012 the Agreement on the Acquisition of the Company Atlantic Ulaganja d.o.o. by the Company Atlantic Grupa d.d. was concluded. The Agreement will become valid if the General Assemblies of both companies involved in the acquisition agree to its content, after which it will be filed with the Commercial Court in order to register the acquisition.

Since the company Atlantic Grupa d.d. is the sole member of the company Atlantic Ulaganja d.o.o., it shall not increase its share capital due to the subject acquisition.

Also, on September 3, 2012 a session of the Supervisory Board of the Company was held, where proposed Resolutions were considered and adopted in order to perform the acquisition, which will be submitted to the General Assembly for adoption, upon its convocation.
