Notice on the cancellation of the bonds with the symbol 3ATG (earlier ATGR-O-216A) ISIN:HRATGRO216A9

Pursuant to the provisions of Article 477 of the Capital Market Act (Official Gazette 65/2018, 17/2020) and Part III, item 4.8.3 of the Issue and Admission Prospectus of the Bonds of the Company ATLANTIC GRUPA d.d., with its registered office in Zagreb, Miramarska 23, PIN (OIB): 71149912416 ("the Company") with the symbol 3ATG (earlier ATGR-O-216A), international securities identification number (ISIN) HRATGRO216A9, and the maturity in 2021 ("Existing Bonds") dated June 7 th , 2016 ("the Prospectus"), the Company hereby informs the holders of the Existing Bonds that the Management Board of the Company, at its session held on October 26th , 2020, adopted a decision on the cancellation of the Existing Bonds.

Any unredeemed Existing Bonds shall be cancelled on December 17th , 2020, at the cancellation price of 100.00% pursuant to the provisions of Part III, item 4.8.3 of the Prospectus. Additionally, the Company shall also pay to the holders of the Existing Bonds the interest accrued and payable for the period from, and including June 17th , 2020, as the previous interest maturity date, until, but excluding December 17th , 2020, as the cancellation date, in the amount of 1.5625%.

The payment of the cancellation price and relevant interest shall be carried out through the company SKDD d.d. (Central Depository and Clearing Company), with its registered office in Zagreb, Heinzelova 62/a, PIN (OIB): 64406809162 ("SKDD d.d."). On the next working day following the payment, SKDD d.d. shall submit to the holders of the Existing Bonds a report on the performed payment to the account, or a report on the failure to perform payment – for those holders of the Existing Bonds who have not received payment to an account, instructing them to deliver information on the account to which the cancellation price and interest shall be paid.

If the considered issuance of the Company's new bonds occurs before the aforementioned cancellation of the Existing Bonds in accordance with the Company's notification dated October 5 th , 2020, the holders of the Existing Bonds would be able to have the Existing Bonds redeemed by the Company as the issuer, i.e. exchange them for new bonds.
