NON-FULFILMENT OF THE CONDITION PRECEDENT PROVIDED BY THE DEMERGER PLAN: INTERUPTION OF THE TRANSACTION
Rome, 1 April 2021 – Following the announcement of 29 March 2021, the Company informs that no binding offers have been received by the deadline of 31 March 2021 with regard to the purchase of the 62.8% stake that Atlanta would have hold in Autostrade Concessioni e Costruzioni S.p.A. (corresponding to the 55% of Autostrade per l'Italia) according to the Demerger Plan approved by the EGM held on 15 January 2021.
Hence, being the condition precedent set out in art. 7.1 (ix) of the Demerger Plan not fulfilled, the demerger itself is interrupted and the transaction, of which it is part, will not be completed.
