ESTABLISHMENT OF NEW COMPANY NAMED "AUTOSTRADE CONCESSIONI E COSTRUZIONI SPA" TO ACQUIRE ASSETS RESULTING FROM SPIN-OFF OF AUTOSTRADE PER L'ITALIA

Rome, 3 September 2020 – Following the decisions taken at the Board meeting of 4 August, today's meeting of Atlantia's Board of Directors has decided to proceed with the establishment of a company to acquire the assets resulting from the spin-off, which will include a stake of up to 88% in Autostrade per l'Italia. The new company is to be named "Autostrade Concessioni e Costruzioni SpA".

The company is being established in readiness for the planned partial, proportional spin-off and subsequent stock market flotation.

The structure of the transaction and the spin-off plan will be submitted for approval to a subsequent meeting of Atlantia's Board of Directors.

The proposal for a direct sale of Atlantia's 88% interest in Autostrade per l'Italia SpA continues to represent an alternative to the spin-off, as announced on 4 August 2020.
