Item 1.01 Entry into a Material Definitive Agreement

On December 22, 2010, Allegheny Technologies Incorporated (the “Company”) amended its $400 million senior unsecured domestic revolving credit facility to extend the expiration date of the commitments of the lenders thereunder to December 22, 2015.

The amendment is evidenced by a Second Amendment to Credit Agreement, dated December 22, 2010 (the “Second Amendment”), by and among ATI Funding Corporation, TDY Holdings, LLC, the guarantors party thereto, the lenders party thereto and PNC Bank, National Association, as administrative agent for the lenders. The foregoing is a summary of the material terms and conditions of the Second Amendment and not a complete discussion of the document. Accordingly, the foregoing is qualified in its entirety by reference to the full text of the Second Amendment, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
