Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On September 22, 2022, ATI Inc. (the “Company”) announced that Kevin B. Kramer, the Company’s Senior Vice President, Chief Commercial and Marketing Officer, will retire from the Company effective as of January 31, 2024. From January 1, 2023 through the effective time of his retirement, Mr. Kramer will serve as Senior Advisor to the Company’s Board Chair, President and Chief Executive Officer.
