Atea acquires leading product and print/copy company in Sweden

(Sweden) Atea in Sweden has entered into agreement to

acquire Portal AB with 110 employees and revenue of

MSEK 615.0 (MNOK 502.5) and EBITDA of MSEK 15.6 (MNOK

12.8) in 2009. Portal is recognized as one of the

strongest and fastest growing IT infrastructure

companies in Sweden.

The acquisition will strengthen Atea offerings and

competencies within product sales, services, mobility

and print/copy business and it will increase the

customer base and sales force especially within the

mid-market segment in Sweden. Portal has office in

Stockholm and has a successful growth track record

since it was established in 1998.

The acquired company is expected to deliver revenue

of MSEK 788.0 (MNOK 643.9) and EBITDA of MSEK 25.0

(MNOK 20.4) in 2010.

Atea has acquired 100% of the shares from the

management and key employees in Portal. All

management team members and key employees will

continue in Atea in new positions.

The agreed transaction value is MSEK 125.4. (MNOK

102.5) and enterprise value is estimated to MSEK

141.1 (MNOK 115.3). 80% of the transaction value

equal to MSEK 100.3 (MNOK 82.0) will be paid upon

completion of the transaction and the remaining 20%

after a two year period.

The transaction is subject to approval from the

Swedish Competition Authority and is expected to have

effect within 1 month period from this announcement.
