Atea acquires leading video conferencing and AV solutions companies in Sweden and Norway

Atea has entered into agreement with Impact Europe

Group AB to acquire Impact Europe's subsidiaries in

Sweden and Norway. The two companies have a total of

59 employees and generated revenue of MSEK 186.6

(MNOK 153.2) in 2009.

Impact Europe is a leading Tandberg video

conferencing reseller and AV solutions provider.

Atea acquires the Swedish and Norwegian subsidiaries

from Impact Europe Group AB to strengthen the video

conferencing and AV solutions business which are

future growth areas outlined in Atea's 20:11:1 growth

plan.

Impact Europe AB in Sweden has 46 employees, 7

offices around Sweden and generated revenue of MSEK

133.6 (MNOK 109.7) and EBITDA of MSEK 5.9 (MNOK 4.9)

in 2009. The acquisition is strengthening the video

conferencing business and AV competencies of Atea in

Sweden and will be an important platform for future

growth within this business area.

Impact Europe Norge AS has 13 employees, 2 offices

and generated revenue of MSEK 53.0 (MNOK 43.5) and

was loss making in 2009. The acquisition of Impact

Europe in Norway will strengthen AV solutions and

video conferencing business of Atea in Norway.

The acquired business activities are expected to

generate revenue of MSEK 192.0 (MNOK 157.7) and

EBITDA of MSEK 8.0 (MNOK 6.6) proforma in 2010.

The transaction value (enterprise value) is MSEK 49.8

(MNOK 40.9). The price will be paid in cash upon

completion of the transaction. Atea acquires 100% of

the shares in Impact Europe AB and Impact Europe AS

from Impact Europe Group AB.

The acquisition of Impact Europe in Sweden will have

effect as of today. The acquisition of Impact Europe

in Norway is subject to approval from the Norwegian

competition authorities and is expected to have

effect within 16 working days.
