SUCCESS OF THE EXCHANGE OFFER ON THE 2008 ORANE AND 2007 BSA
Lyon, France, February 10th, 2009 - The French securities regulator, L'Autorité des marchés financiers, has released the results of Infogrames Entertainment's simplified exchange offer for its 2008 ORANE and 2007 BSA, which took place from December 30, 2008 to January 27, 2009.
Holders of the 2008 ORANE and 2007 BSA have accepted the exchange offer as follows:
- 1,479,871 2008 ORANE (ISIN FR0010560615), representing 99.6% of the outstanding 2008 ORANE, were tendered into the exchange offer. Following the closing of the exchange offer, 1,479,871 2009 ORANE (ISIN FR0010696153) will be issued. The 2009 ORANE have the same terms as the 2008 ORANE except for the conversion ratio which is at 17 new or existing shares per 2009 ORANE (instead of 8.91 new or existing shares per 2008 ORANE),
- 167,350,200 2007 BSA (ISIN FR0010413237), representing 88.9% of the outstanding 2007 BSA, were tendered into the exchange offer. Following the closing of the exchange offer, 1,673,502 2009 BSA will be issued (ISIN FR0010690099). The 2009 BSA have the same terms as the 2007 BSA except as follows:
- o Exercise price set at EUR 6.00 per 2009 BSA (instead of EUR 15.00 per 100 2007 BSA), and
- o Maturity date set on December 31, 2012 (versus December 31, 2009).
Settlement / delivery date for 2009 ORANE and 2009 BSA will be on February 11, 2009. This final step puts a successful end to the operations initiated by Infogrames Entertainment in December 2008.
