INFOGRAMES ENTERTAINMENT APPOINTS FRANK DANGEARD AS NON-EXECUTIVE CHAIRMAN OF THE BOARD OF DIRECTORS

Lyon – France, March 16, 2009 – Infogrames Entertainment announces that in its meeting of March 15, 2009, the Board appointed Frank E. Dangeard as the new non-executive Chairman of the Group. Michel Combes will remain as board member but wishes to dedicate more time to his other professional obligations. Eugene I. Davis has resigned from the Board. Apart from the appointment of Frank Dangeard and the resignation of Mr. Davis, the Board remains unchanged.

Infogrames' Board is now comprised of:

  • Mr. Frank E. Dangeard, Non-Executive Chairman
  • Mr. Dominique D'Hinnin, Vice-Chairman, Independent Director
  • Mr. Pascal Cagni, Independent Director
  • Mr. Michel Combes, Independent Director
  • Mr. David Gardner, Director and CEO
  • Mrs. Gina Germano, Director
  • Mr. Phil Harrison, Director and President
  • Mr. Didier Lamouche, Independent Director
  • BlueBay Asset Management, represented by Mr. Jeffrey Lapin

The Board approved the financial terms applicable to the appointment of Frank Dangeard, effective as of March 15, 2009 and which can be summarized as follows:

  • An annual fixed amount of €100,000 per year and a share of the attendance fees approved by the shareholders' meeting to the benefit of the Board's members.
  • In the event that Frank Dangeard is removed from office before the term of his appointment, he will be entitled to receive payment of a severance package equal to his fixed annual compensation of €100,000. The payment of this amount will be subject to certain performance criteria.

In addition to its Nomination & Remuneration Committee and Audit Committee, the Board has two ad hoc committees, the Finance & Resources Committee and the Strategy Committee, which will be headed by Frank Dangeard. For this special assignment, for which it is expected that he shall devote up to 10 days per month he will receive a monthly cash compensation of €30,000.

Frank Dangeard also acts as Special Advisor to BlueBay.

Frank E. Dangeard is a graduate from Ecole des Hautes Etudes Commerciales (HEC), Institut d'Etudes Politiques de Paris (IEP) and the Harvard Law School (Fulbright Scholar, HLS Fellow). Frank E. Dangeard was an associate with the law firm Sullivan & Cromwell in New York and London from 1986 to 1989, and a member of the New York bar, then a Managing Director of the investment bank S.G. Warburg in London, Madrid and Paris, and Chairman of SBC Warburg from 1995. He joined Thomson multimedia in 1997 as Senior Executive Vice President, then Vice Chairman of the Board from 1999. From September 2002 to September 2004 he was Senior Executive Vice President of France Telecom. From September 2004 to March 2008, he was Chairman & CEO of Thomson. Frank E. Dangeard is Managing Director of Harcourt, and a director of Calyon (Crédit Agricole Group), Electricité de France (EDF), Moser Baer (India), Sonaecom (Portugal) and Symantec (USA). He is also member or chairman of Advisory/Strategy Boards of a number of international companies and non-profit organizations.
