Item 8.01 Other Events.

As previously disclosed, pursuant to that certain Underwriting Agreement, dated August 16, 2023, between Asure Software, Inc. (the “ Company ”) and the underwriters named therein (the “ Underwriters ”), the Underwriters were granted an option to purchase up to an additional 500,000 shares of our common stock. The Underwriters exercised this option on August 30, 2023, and we closed on the issuance and sale of the additional 500,000 shares on September 1, 2023. The net proceeds to the Company from the sale of the additional 500,000 shares, after underwriting discounts, is approximately $5.64 million.
