Item 1.01 Entry into a Material Definitive Agreement.

In connection with a periodic review of its existing form of indemnification agreement, the Board of Directors of the Company approved a form of amended and restated indemnification agreement related to the service of directors and officers of the Company. On December 18, 2024, the Company entered into such indemnification agreements with each of its directors.

The form of amended and restated indemnification agreement provides for indemnification and advancements by the Company of certain expenses, including attorneys’ fees, judgments, fines and settlement amounts and costs relating to claims, suits or proceedings, arising from each individual’s service to the Company as a director or officer, as applicable, to the maximum extent permitted by applicable law.

The foregoing description of the amended and restated indemnification agreement does not purport to be complete and is qualified in its entirety by the full text of the amended and restated indemnification agreement, a form of which is filed as Exhibit 10.1 of this Current Report and incorporated herein by reference.
