Description of Registrant’s Securities to be Registered .

On August 5, 2015, Astrotech Corporation (the “Company”) entered into an amendment (the “Amendment”) to the Company’s existing rights agreement between the Company and American Stock Transfer & Trust Company, LLC, as Rights Agent (the “Rights Agent”), dated July 29, 2009, as amended July 29, 2010, August 10, 2011, August 10, 2012, August 6, 2013 and June 9, 2014 (the “Rights Agreement”) to extend the Expiration Date until which the Rights may be exercisable to August 10, 2016 and to decrease the Purchase Price for each one one-thousandth of a share of the Company’s Series D Junior Participating Preferred Stock purchasable pursuant to the exercise of a Right as provided in the Rights Agreement from $6.50 to $3.06.
