Cleansing Notice – CHESS Depositary Interests issued

Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

Astron Corporation Limited ARBN 154 924 553 (ASX:ATR) ( Astron or Company ) gives this cleansing notice ( Cleansing Notice ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

On 17 October 2024, the Company announced the proposal to convert $2,186,883 of a loan from its non-Executive Director, Mme Kang Rong, into equity at a conversion price of $0.66, resulting in the issue of 3,313,459 CDIs ( Conversion CDIs ). Approval for the issue of the Conversion CDIs was granted at the Company’s AGM on 5 December 2024.

The 3,313,459 Conversion CDIs were issued on 3 January 2025 and will rank equally with all other CDIs on issue.

The Company gives the following notice under section 708A(5)(e) of the Corporations Act:

• a) the Conversion CDIs were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• b) as a disclosing entity, the Company is subject to regular reporting and disclosure obligations;

• c) as at the date of this notice, the Company has complied with:

  • i. the provisions of Chapter 2M of the Corporations Act, as they apply to the Company; and

  • ii. section 674 of the Corporations Act; and

  • iii. section 674A of the Corporations Act; and

• d) as at the date of this notice, there is no information that is “excluded information” within the meanings of sections 708A(7) and 708A(8) of the Corporations Act.
