Cleansing Notice – CHESS Depositary Interests issued

Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

Astron Corporation Limited ARBN 154 924 553 (ASX:ATR) ( Astron or Company ) gives this cleansing notice ( Cleansing Notice ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

On 7 November 2023, the Company announced a placement to Mr Tan Ruiqing via 3 tranches of Chess Depositary Interests ( CDIs ), with the third tranche being in the amount of $4 million. The Company has received the third tranche of funds. The third tranche of that placement comprised the issue of 7,142,857 CDIs, which were issued on 26 March 2024 at an issue price of $0.56 per placement CDIs ( February Placement CDIs ).

The 7,142,857 February Placement CDIs issued 26 March 2024 will rank equally with all other CDIs on issue.

The Company gives the following notice under section 708A(5)(e) of the Corporations Act:

• a) the CDIs were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• b) as a disclosing entity, the Company is subject to regular reporting and disclosure obligations;

• c) as at the date of this notice, the Company has complied with:

  • i. the provisions of Chapter 2M of the Corporations Act, as they apply to the Company; and

  • ii. section 674 of the Corporations Act; and

  • iii. section 674A of the Corporations Act; and

• d) as at the date of this notice, there is no information that is “excluded information” within the meanings of sections 708A(7) and 708A(8) of the Corporations Act.

This cleansing notice has been authorised for lodgement to ASX by the Managing Director of Astron.
