Cleansing Notice – CHESS Depositary Interests issued

Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

Astron Corporation Limited ARBN 154 924 553 (ASX:ATR) ( Astron or Company ) gives this cleansing notice ( Cleansing Notice ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

On 28 September 2023, the Company announced a placement to sophisticated investors of Chess Depositary Interests ( CDIs ) via a $2.68 million placement. The Company has received funds from the second of the sophisticated investors participating in that placement, in the amount of $1 million.

The second part of that placement comprised the issue of 1,785,714 CDIs, which were issued on 21 November 2023 at an issue price of $0.56 per Placement CDI ( October Placement CDIs ).

On 7 November 2023, the Company announced a placement to Mr Tan Ruiqing via 3 tranches, with the first tranche being in the amount of $3 million. The Company has received the first tranche of funds. The first tranche of that placement comprised the issue of 5,357,143 CDIs, which were issued on 21 November 2023 at an issue price of $0.56 per placement CDIs ( November Placement CDIs ).

The 1,785,714 October Placement CDIs issued 21 November 2023 and the 5,357,143 November Placement CDIs issued 21 November 2023 will rank equally with all other CDIs on issue.

The Company gives the following notice under section 708A(5)(e) of the Corporations Act:

• a) the CDIs were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• b) as a disclosing entity, the Company is subject to regular reporting and disclosure obligations;

• c) as at the date of this notice, the Company has complied with:

  • i. the provisions of Chapter 2M of the Corporations Act, as they apply to the Company; and

  • ii. section 674 of the Corporations Act; and

  • iii. section 674A of the Corporations Act; and

• d) as at the date of this notice, there is no information that is “excluded information” within the meanings of sections 708A(7) and 708A(8) of the Corporations Act.
