Cleansing Notice – CHESS Depositary Interests issued under SPP and placement

Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

Astron Corporation Limited ARBN 154 924 553 (ASX:ATR) ( Astron or Company ) gives this cleansing notice ( Cleansing Notice ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

On 17 October 2022, the company announced a securities purchase plan ( SPP ) and the Company issued an SPP offer document dated 24 October 2022 in accordance with ASIC Corporations (Share and Interest Purchase Plans) Instrument 2019/547 . The Company issued 1,372,259 CDIs under the SPP and 277,780 CDIs under the SPP Shortfall, in total 1,650,039 CDIs ( SPP CDIs ).

Today, the Company issued 1,650,039 SPP CDIs at an issue price of $0.54 per SPP CDI in accordance with the SPP offer document.

The 1,650,039 SPP CDIs issued today will rank equally with all other CDIs on issue.

On 17 October 2022, the Company announced a placement to certain sophisticated and professional investors with Chess Depositary Interests ( CDIs ) to sophisticated and institutional investors via a $4 million placement and $1 million director loan conversion. Tranche 1 of the placement comprised the issue of 4,787,042 CDIs, of which 3,977,042 were issued on 24 October 2022. A further 597,593 the CDIs as the second part of Tranche 1 of the placement were issued today at an issue price of $0.54 per Placement CDI to sophisticated and professional investors ( Placement CDIs ).

The 597,593 Placement CDIs issued today will rank equally with all other CDIs on issue.

The Company gives the following notice under section 708A(5)(e) of the Corporations Act:

• a) the CDIs were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• b) as a disclosing entity, the Company is subject to regular reporting and disclosure obligations;

• c) as at the date of this notice, the Company has complied with:

  • i. the provisions of Chapter 2M of the Corporations Act, as they apply to the Company; and

  • ii. section 674 of the Corporations Act; and

• d) as at the date of this notice, there is no information that is “excluded information” within the meanings of sections 708A(7) and 708A(8) of the Corporations Act.
