ASX Announcement
ASTRON ACQUIRES 13% OF GREENPOWER ENERGY IN SHARE PLACEMENT
15 July 2011: Greenpower Energy Limited (GPP) has issued 9,513,018 ordinary shares at 5.5 cents a share to raise $532,756.00. Astron Limited has purchased these shares and will hold 13.04% of GPP's increased issued capital of 72,933,138 ordinary shares.
The placement forges an even stronger strategic link between GPP and ATR as GPP holds 1,292,250 shares in ATR, and there are two common directors on the boards of both companies (G.A. King and R.H. McCullough).
Greenpower made the placement to provide working capital and in particular to assist funding its coals to liquids project involving technology developed at the University of Texas.
No commissions, brokerage or other expenses are involved for either party, so the full amount has been received by GPP. GPP has used its entitlement under ASX Listing Rule 7.1 to make this issue. ATR qualifies as a sophisticated investor under S. 708 (8) of the Corporations Act. Following the lodgement by GPP of a Cleansing Notice under section 708A(5) of the Corporations Act, the new shares will be listed with GPP's existing shares.
