The Company is proceeding with a share consolidation.

Item 5.1 Full Description of Material Change

The Company intends to complete a consolidation of its issued and outstanding common shares (the “ Shares ”) on the basis of one new Share for every eight currently held Shares (the “ Consolidation ”). Completion of the Consolidation remains subject to the approval of the TSX Venture Exchange.

Following the completion of the Consolidation, the Company will have approximately 10,437,901 Shares issued and outstanding.
