CLEANSING NOTICE

SECTION 708A CLEANSING STATEMENT

This notice is given by Astral Resources NL ( Company ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

On 31 July 2023, the Company announced that it had received firm commitments for a placement of approximately 46,153,846 new shares ( Shares ) to raise approximately $3 million (before costs) at $0.065 per Share ( Placement ).

Pursuant to the Placement, 46,153,846 Shares were issued to sophisticated and professional investors on 7 August 2023 (utilising part of the Company’s placement capacity pursuant to Listing Rule 7.1).

The Company hereby notifies ASX under section 708A(5)(e) of the Corporations Act that:

• a) the Company issued the Shares without disclosure to investors under Part 6D.2 of the Corporations Act;

• b) as at the date of this notice the Company has complied with:

  • i. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • ii. sections 674 and 674A of the Corporations Act; and

• c) as at the date of this notice, there is no other information that is excluded information of the type referred to in section s708A(7) and 708A(8) of the Corporations Act which is required to be disclosed pursuant to section 708A(6)(e).

This announcement has been approved for release by the Company Secretary.
