Assystem Acquires Berner & Mattner

Increasing skills and revenues in Germany with a focus on Embedded Systems

Paris, 31 January 2011 – Assystem, a leading international engineering and innovation consultancy, has signed an agreement to acquire 100% of Berner & Mattner, enhancing the Group's offering in embedded systems and strengthening its presence in Germany.

Berner & Mattner is a German company that specialises in the specification, development and testing of embedded electronic systems, totalling revenues of 28 million euros in 2010. Founded in 1979 by Hans Berner and Adolf Mattner, the company has achieved an average growth of 25% over the past four years and enjoys a solid reputation on the market. Today, the company is 286 employees strong, headquartered in Munich with offices in Cologne, Hamburg, Berlin, Stuttgart, Ingolstadt, Wolfsburg and Vienna (Austria). Regarded as a niche player, Berner & Mattner has developed longstanding relationships with leading European manufacturers mostly in the automotive and transportation markets, such as Daimler, BMW, Bombardier and Siemens.

According to a report1 ordered by the French Ministry of Digital Economy at the end of last year, the market for electronic and IT embedded systems has grown by 7% every year since 2002 and should keep growing faster. In this fast-growing engineering market segment, France and Germany are top global players capitalizing on their leadership in key industries such as Aerospace and Automotive. Today, a third of the total cost of an aircraft is related to embedded systems, while 20% of the cost of a car comes from their design and implementation. With the acquisition of Berner & Mattner, Assystem strengthens its position in electronic and IT embedded systems reaching a revenue in the range of 100 million euros in this sole segment. The two companies benefit from strong complementary customer portfolios that are to give Assystem a key edge in the aerospace, automotive, defence and transportation industries in Europe.

In Germany, the acquisition of Berner & Mattner enhances Assystem's presence locally to more than 1,100 employees and revenues close to 100 million euros. This is a first step for Assystem on the path of reaching a significant and broader position on the German engineering market. Thus, executing the Group's strategy to develop in one of the major industrial European countries

Assystem will be able to support Berner & Mattner's development, bringing the German company critical size, market access and new capabilities including offshoring. Berner & Mattner's top management team embraces this change and will remain in position to lead the company towards success and contribute to the building up of a stronger Assystem in Germany.

This acquisition will be completed in the days to come, upon confirmation of the local competition authorities' agreement.
