Early redemption of Assystem's ORNANEs at the request of their holders

(Paris – 20 March 2014 – 8:00 pm CET) – Assystem hereby informs holders of the 4% ORNANE bonds redeemable in cash and/or stock at the holder's option issued by Assystem on 6 July 2011 and maturing on 1 January 2017 (ISIN: FR0011073006) that following the public offer initiated by HDL Development (HDL Development) for all outstanding Assystem shares, redeemable share warrants (BSAARs) and bonds redeemable in cash and/or stock at the holder's option (ORNANEs), HDL Development has owned more than 50% of the outstanding shares and voting rights of Assystem since 27 February 2014.

Consequently, there has occurred a Change of Control as defined in paragraph 4.17.7.3 of the information memorandum included in the prospectus for the ORNANE issue filed with the French securities regulator, AMF, on 28 June 2011 under the no. 11-268 (the Information Memorandum).

In accordance with paragraph 4.9.5 of the Information Memorandum, Assystem hereby informs ORNANE holders that due to this Change of Control, they may request early redemption of all or part of their ORNANEs for cash during the period from 21 March to close of business on 10 April 2014.

Any such requests for early redemption will be settled in cash on 17 April 2014.

The ORNANEs will be redeemed for €22.2556 each, corresponding to the €22 par value plus the interest accrued since the last interest payment date before the date of early redemption until the settlement date, namely €2.556.

ORNANE holders who wish to early redeem their ORNANEs should file a request with the bank or broker managing their securities account. Note that the request is irrevocable once it has been received by the bank or broker.
