Item 8.01. Other Events.

On December 15, 2015, the Board of Directors of Associated Banc-Corp (the “Company”) approved the redemption in full of the Company’s outstanding $430 million of 5.125% Senior Notes due 2016 (the “Senior Notes”). The Company anticipates that the Senior Notes will be redeemed effective as of February 28, 2016 at a redemption price of 100% of the principal amount of the Senior Notes, plus unpaid accrued interest.
