Item 8.01

Other Events .

On January 10, 2014, the Board of Directors of Associated Banc-Corp (the “Company”) approved the redemption in full of the Company’s outstanding $155 million of 1.875% Senior Notes due 2014 (the “Senior Notes”). The Company anticipates that the Senior Notes will be redeemed effective as of February 12, 2014 at a redemption price of 100% of the principal amount of the Senior Notes, plus unpaid accrued interest.
