Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective August 27, 2013, Mr. Christopher J. Del Moral-Niles, Executive Vice President, Chief Financial Officer of Associated Banc-Corp (the “Company”) will also assume the responsibilities of the Principal Accounting Officer. Mr. Bryan R. McKeag, the Company’s current Corporate Controller (Principal Accounting Officer), has resigned his position and will be leaving the Company to become the chief financial officer of another financial institution.
