On January 5, 2012, Mark J. McMullen notified Associated Banc-Corp of his decision to retire as Vice Chairman of Associated Bank, National Association and as a director of its affiliates, effective February 10, 2012.

A copy of the press release announcing Mr. McMullen’s retirement is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
