Board Changes

PS&C Ltd (ASX: PSZ) announces that Chairman, Adrian Wischer will retire from the board of directors at the Annual General Meeting on 27 November and will not seek re-election.

Mr. Wischer has advised the company that he moved into an executive role with a private company in which he is a major shareholder, which has impinged on the time available to commit to future requirements of the PS&C Ltd Board. This circumstance was unforeseen at the time of the listing.

The company is indebted to Mr.Wischer for his strong leadership during the IPO process and its first year as a listed company.

Terry Benfold will be appointed to the board of directors on 30 October 14 and will assume the Chairman’s role following the AGM on 27 November.

Mr. Benfold has had extensive experience in advisory and assurance, as an independent expert and investigating accountant to many initial public offerings, having been a partner in accounting firm Pitcher Partners from 1991 to 2011. Prior to that he worked as an audit partner at KPMG and its forerunners. He has been the audit partner responsible for listed IT services companies, Oakton Limited and CSG Limited during his time at Pitcher Partners.
