ENTITLEMENT ISSUE RAISES APPROXIMATELY $234,000

The Board of Windy Knob Resources Limited (“Windy Knob” or the “Company”) wishes to advise that its 1- for-1 pro-rata non-renounceable Entitlements Issue to shareholders (the “Entitlements Issue”) has closed.

Take up by shareholders represented approximately 37% of the Entitlements Issue or a total of $233,921.91 before costs.

We refer to ASX’s letter dated 7 April 2009 granting conditional approval of quotation of 63,000,000 fully paid ordinary shares and provide the following information:

1. A total of 23,392,191 shares were allotted and issued on 5 May 2009 pursuant to the Entitlements Issue and quotation of the shares on ASX is now sought.

2. The issued capital of the Company following the allotment is as follows:

3. 86,392,191 fully paid ordinary shares (WKR)

4. 49,499,995 options (WKRO) exercisable at $0.20 expiring on 31 December 2009

5. The 20 largest holders of Shares and the percentage held by each, as well as a distribution schedule is attached as an appendix.

As outlined in the Prospectus dated 3 April 2009, the directors now intend to place up to the remaining 39,607,809 shares under the Shortfall Offer and updates with respect to this will be provided to the market in due course.
