ASOS PLC ('ASOS' or the 'Company')

Director/PDMR Shareholding

Under the terms of his service contract dated 1 October 2012, the Company has issued 4,434 ordinary shares of 3.5 pence each ("Ordinary Shares") to Mr. McBride.  This grant comprises ASOS Plc Ordinary Shares worth £100,000 when calculated with reference to the closing price of the Ordinary Shares on 31 October 2012 of £22.55.  The grant of these Ordinary Shares represents the second of three annual grants to Mr. McBride of 4,434 ASOS Ordinary Shares of 3.5 pence each. The first grant occurred on 1 November 2012, and the final grant will occur on 1 November 2014 subject only to Mr. McBride still being appointed as non-executive chairman of the Company on such date.

Application will be made for the 4,434 new Ordinary Shares to be admitted to trading on AIM. These new Ordinary Shares will rank pari passu with the existing Ordinary Shares of the Company and dealings in the new Ordinary Shares are expected to commence on 7 November 2013. 

Following this transaction, Mr. McBride holds 8,868 shares in ASOS plc.
