Report Content The Management Board of Proguns Group S.A. with itsregistered office in Warsaw (the "Issuer") announces that on 12 January2026 the Issuer entered into an agreement with Niewiadów Polska GrupaMilitarna S.A., with its registered office in Warsaw, for thesubscription of registered Series F shares of the Issuer, under whichNiewiadów Polska Grupa Militarna S.A. subscribed for 7,916,667registered Series F shares of the Issuer in exchange for a cashcontribution of PLN 791,666.70.

The Issuer explains that the subscription of theIssuer's Series F shares by Niewiadów Polska Grupa Militarna S.A.constitutes an element of the implementation of the Term Sheet concludedby Forum 119 Closed-End Investment Fund, Niewiadów Polska GrupaMilitarna S.A., Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o., andthe Issuer, which the Issuer reported in current report ESPI No. 25/2025of 21 October 2025.
