We refer to our letter no. APL/SEC/19/2021-22/12 dated 12[th] May, 2021, wherein it was informed that the Board of Directors of the Company at their meeting held on 12[th] May, 2021 had approved the re - appointment of Mr. R. Seshasayee (DIN: 00047985) as an Independent Director of the Company for a second term of five (5) years commencing from 23[rd] January, 2022 to 22[nd] January, 2027 and continuation of his directorship beyond seventy five (75) years of age in accordance with Regulation 17(1A) of Listing Regulations, subject to approval of the shareholders at the ensuing Annual General Meeting (AGM) to be held on Tuesday, 29[th] June, 2021.

This is to inform you that the shareholders at their AGM held today, have approved the reappointment of Mr. Seshasayee as an Independent Director of the Company for the second term and continuation of his directorship beyond seventy five (75) years of age in accordance with Regulation 17(1A) of Listing Regulations. The brief profile of Mr. Seshasayee is enclosed herewith as Annexure A.

In accordance with the Circular issued by Stock Exchanges dated 20[th] June, 2018, we hereby confirm that Mr. Seshasayee is not debarred from holding office of Director by virtue of any SEBI Order or any other such authority.

Mr. Seshasayee is not related to any of the Directors or Key Managerial Personnel or Promoter(s)/Promoter(s) Group of the Company.

Name: R Seshasayee

Mr. R. Seshasayee a Chartered Accountant by qualification, was Managing Director of Ashok Leyland Limited from 1998 to 2011, Executive Vice Chairman from 2011 to 2013 and Non Executive Vice Chairman from 2013 to 2016. He was also the Chairman of IndusInd Bank from 2007 to 2019. He has served on the Boards of various companies, including ICICI Bank and Infosys Ltd (Chairman from 2015 to 2017). He was the President of Society of Indian Automobile Manufacturers during 2001- 2003 and President of Confederation of Indian Industry during the year 2006- 2007.
