NOTICE TO SHAREHOLDERS
1. NOTICE is hereby given pursuant to Rule 20 of the Companies (Management
& Administration) Rules, 2014, that the 33rd Annual General Meeting (“AGM”) of
the Shareholders of Gujarat Containers Limited will be held on Thursday, the
14thAugust, 2025 at 3.00 p.m.through Video Conferencing (“VC”) / Other Audio-
Visual Means (“OAVM”), in compliance with General Circular nos. 14/2020 dated
8th April2020, 17/2020 dated 13th April 2020, 20/2020 dated 5th May 2020,
2/2021 dated 13th January 2021, 21/2021 dated 14th December 2021, 2/2022
dated 5thMay 2022, 10/2022 dated 28th December 2022, 9/2023 dated 25th
September 2023 and 9/2024 dated 19th September 2024 issued by the
Ministry of Corporate Affairs (“MCA Circulars”) and all other applicable laws
and circulars issued by the Ministry of Corporate Affairs (“MCA”), Government
of India and Securities and Exchange Board of India (“SEBI”), to transact the
business as contained in the Notice of the AGM.
2. In view of the above MCA Circulars, the SEBI vide its circular
SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated 3rdOctober 2024 dated
7thOctober 2023, also extended the relaxation from the requirement of sending
the hard copy of Annual Report to the Shareholders who have not registered their
email addresses. However, Regulation 36(1)(b) of the Listing Regulations
stipulates that a letter providing the web-link, including the exact path, where
complete details of the Annual Report are available has to be sent to those
shareholder(s) who have not registered their email addresses. Therefore, the
Annual Report of the Company is being sent through electronic mode to those
shareholders whose email addresses are available with the Company / RTA /
Depositories and a letter containing a web-link of the annual report is being
sent to those shareholders whose email addresses are not available, at their
registered addresses. The Annual Report for the financial year 2024-25 along
with the Notice of Thirty-third AGM will also be available on the Company's
website at www.gujaratcontainers.in and on the website of the Stock
Exchange i.e. BSE Limited atwww.bseindia.com.
3. Shareholders holding shares either in physical form or dematerialized form, as
on the cut-off date i.e.7th August, 2025, may cast their votes electronically on the
business as set forth in the Notice of 33rdAGMthrough the electronic voting
system of NSDL.
Shareholders are hereby furtherinformed that :
a) The business as set forth in the Notice of the 33rdAGM will be transacted
through remote e-voting and e-voting at the 33rdAGM;
b) The Register of the Members and Share Transfer Books will remain closed
from Saturday, the 9thAugust, 2025 to Thursday, the 14thAugust, 2025. (both
dates inclusive) for the purpose of 33rdAGM;
c) The remote e-voting shall commence on Monday,11th August, 2025 at 9:00
a.m. (1ST) and conclude on Wednesday, 13th August, 2025 at 5.00 p.m. (1ST);
d) The cut-off date for determining the eligibility to vote by remote e-voting or by e-
voting at the 33rd AGM shall be Thursday, 7th August, 2025;
e) Remote e-voting module will be disabled after 5:00 p.m. (1ST) on 13th August,
2025; Any person, who acquires shares of the Company and becomes a member
post-dispatch of the Notice of the 33rdAGM and holds shares as on the e-voting
cut-off, may obtain the login ID and password by sending a request at
[email protected], if a person is already registered with CDSL
/ NSDL, for e-voting, then the existing user ID and password can be used for
casting their vote;
g) Shareholders may note that :
i. The facility for e-voting will also be made available during the 33rdAGM, and
those Shareholders present in
the 33rdAGM through VC / OAVM, who have not cast their vote on the resolutions
through remote e-voting and are otherwise not barred from doing so, shall be
eligible to vote through the e-voting system at the 33rdAGM;
ii. The Shareholders who have cast their votes by remote e-voting prior to the
33rdAGM may also attend the
AGMbut shall not be entitled to cast their votes again; and
iii. Only persons whose name is recorded in the register of members or in the
register of beneficial owners
maintained by the depositories as on the cut-off date shall be entitled to avail the
facilityof remote e-voting or e-voting at the 33rdAGM.
The manner of voting remotely for Shareholders holding shares in dematerialized
mode, physical mode and for Shareholders who have not registered their email
addresses is provided in the Noticeof the 33rdAGM. The details will also be made
available on the website of the Company. Membersare requested to visit
www.gujaratcontainers.com to obtain such details; Shareholders who are
holding shares in dematerialised form and have not registered their email
addresses are requested to register their email addresses with respective
depository participant(s)and Shareholders holding shares in physical mode
are requested to update their email addresseswith Company's Registrar and
Share Transfer Agent, MCS Share Transfer Agent Limited. Toreceive copies of
the Annual Report 2024-25 along with the Notice of the 33rdAGM, instructions
forremote e-voting and instructions for participation in the 33rdAGM through
