On Assignment, Inc. is filing this Amendment No. 1 on Form 10-Q/A (this “Form 10-Q/A”) to the Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2012, initially filed with the Securities and Exchange Commission on July 30, 2012 (the “Original Filing”), solely for the purpose of including the Interactive Data File exhibits required by Rule 405 of Regulation S-T.

This Form 10-Q/A does not affect any other information contained in the Original Filing. This Form 10-Q/A does not reflect events that occurred subsequent to the original filing date, and does not modify or update in any way statements or disclosures made in the Original Filing.
