Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Directors.

On May 28, 2019, Peter T. Dameris, informed ASGN Incorporated (the “Company”) that he is resigning as a Director of the Company effective immediately. The Company is negotiating a transition agreement with Mr. Dameris.
