Retirement of Director at conclusion of 2024 AGM

Reference is made to the notice of the annual general meeting (“NOM”) of ASF Group Limited (“Company”) dated 25 October 2024 in relation to, among other things, the proposal for re-election of Mr Louis Chien as director of the Company at the forthcoming annual general meeting (“AGM”) to be held on 27 November 2024.

The Company hereby announces that Mr Louis Chien has advised that he will not seek for re-election at the AGM and will retire as director of the Company upon conclusion of the AGM.

As such, the proposed resolution 3 in respect of the re-election of Mr Louis Chien as set out in the NOM and AGM proxy form is no longer applicable and will not be put forward for consideration and approval by the shareholders at the AGM.

The Board would like to thank Mr Chien for his invaluable contributions during his tenure and wish him all the best for his future endeavours.
