ASCOPIAVE S.p.A.: Shareholders' Agreements – update of voting rights

As stated in applicable legal and regulatory provisions, it is herein notified that the Corporate Governance section of www.gruppoascopiave.it has the latest publication of the essential information relating to the agreement between shareholders, stipulated on 16th March 2020. Such document has the exclusive update of the variation in the number of voting rights relating to signatory shareholders, consequent to the right of majority vote, as stated in the press releases issued by Ascopiave on 6th June 2025.

The Municipalities of Spresiano, Mareno di Piave, Giavera del Montello, Segusino, Trevignano, Follina and Pieve di Soligo obtained the vote increase, for all or part of the shares held, pursuant to Article 127 quinquies, Legislative Decree no. 58/1998 and Article 6 of Ascopiave S.p.A.'s Articles of Association for a total of 15,093,959 Ascopiave S.p.A. shares (rather than n. 15,093,959 shares communicated by the signatory shareholders) out of 15,734,784 Ascopiave S.p.A. shares conferred in the Shareholders' Agreement.

Pursuant to Articles 65-quinquies, 65-sexies and e 65-septies of Issuers' Regulation, the document is available for the public at the company's headquarters, on the authorized platform "eMarket STORAGE" () managed by Teleborsa S.r.l., and under the Corporate Governance section of www.gruppoascopiave.it.

The Ascopiave Group is one of Italy's leading operators in natural gas distribution, as it manages such a service in 494 Municipalities in Northern Italy through a network of more than 21,700 km serving approximately 1,500,000 users.

The Group is also active in the sectors of renewable energies and integrated water services, while holding several minority stakes in some companies that operate in ICT (Herabit S.p.A.) and in public services (Acinque S.p.A.).

Concerning renewable energies as a sector, Ascopiave currently manages a total of 29 facilities between hydroelectric and wind power plants, with an overall nominal capacity of 84.1 MW.

Since December 12, 2006, Ascopiave has been listed on the Euronext Star Milan segment of the Italian Stock Exchange.
