Announcement by Asco Holding S.p.A

6 September 2018 – Asco Holding S.p.A. ("Asco Holding" or the "Company") herein notifies that, on the basis of communications from shareholders received subsequent to the previous published release dated 13 August 2018, legally submitted within the final date for exercising the right of withdrawal entitled to shareholders who, on 23 July last, did not resolve to approve the meeting resolutions (within 10 August 2018), the final results relating to the exercise of the right of withdrawal are the following:

• (i) the right of withdrawal has been exercised to the amount of no. 41.945.221 shares, representing 29.96% of the share capital of Asco Holding, to the global amount of Euro 157.294.578,75, calculated at the clearance value of Euro 3.75 (three/75) for each share, as resolved by the Board of Directors, pursuant to Article 2437-ter of the Civil Code;
• (ii) the settlement of the sum has been as follows: 15.78% of Asco Holding share capital in cash and 14.18% through shares of the subsidiary Ascopiave S.p.A.

A total of no. 14.007.435 shares subject to withdrawal, different from no. 27.937.786 ownership shares of those withdrawing shareholders disputing the clearance amount, are subject to a new rights offering, deposited, at today's date, at the Corporate Registry in Treviso - Belluno, to be understood as a full substitution of the previous rights offering deposited on 13 August 2018.
