Notification of Transaction of PDMRs 

On 10 March 2016, the Company's Executive Directors received awards over ordinary shares in Ascential plc under the Company's Employee Share Incentive Plan ('Employee Share Plan') as noted below:

Subject to the terms of the Employee Share Plan, the shares which are the subject of the awards will ordinarily vest as from the third anniversary of the grant of the awards subject to the grantee's continued service.

No consideration was paid for the grant of the awards and no consideration is due on the vesting and/or exercise of the awards.

The Company was notified of the above transactions on 10 March 2016.

The transactions took place in the United Kingdom.
