Additional Explanations

Yönetim Kurulumuzun 23.05.2023 tarih ve 2023/17 sayılı toplantısı ile;

Şirketimiz tarafından Sermaye Piyasası Kurulu'nun (SPK) Seri: II 14.1. Sayılı Tebliği hükümleri çerçevesinde Uluslararası Finansal Raporlama Standartlarına uyumlu olarak hazırlanan ve KPMG Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik A.Ş. tarafından denetlenen 01.01.2022- 31.12.2022 hesap dönemine ait finansal tablolarımıza göre oluşan 40.619.421,- TL konsolide net dönem kârının, Kâr Dağıtım Politikamız ve Esas Sözleşmemizin 19. Maddesi'nde belirtilen esaslar çerçevesinde ve ekli kâr dağıtım tablosuna uygun olarak:

i. Türk Ticaret Kanunu ve Sermaye Piyasası Kurulu'nun kâr dağıtımı ile ilgili düzenlemeleri ve kararları çerçevesinde hesaplanan net dağıtılabilir kârın; brüt 15.000.000,- TL'lik kısmının nakit kâr payı olarak ortaklara dağıtılması,

ii. Türk Ticaret Kanunu hükümleri uyarınca 1.338.950,- TL'nin genel kanuni yedek akçe olarak ayrılması,

iii. Kalan kârın geçmiş yıl kârlarına eklenmesi,

iv. Pay sahiplerine dağıtılacak nakit kâr payının dağıtımının 26 Temmuz 2023'ten itibaren, tek seferde yapılması ve bu konuda Yönetim Kurulu'na yetki verilmesi

hususlarını içeren kâr dağıtım önerisi Şirketimizin 19.06.2023 tarihli 2022 Yılı Olağan Genel Kurul toplantısında görüşülerek onaylanmıştır. Kamuoyu ve yatırımcılarımızın bilgilerine sunulur.
