Additional Explanations

Yönetim Kurulumuz 31.03.2021 tarih ve 2021/05 sayılı toplantısında;

1) Şirketimiz tarafından Sermaye Piyasası Kurulu'nun Seri: II 14.1 sayılı Tebliği hükümleri çerçevesinde Uluslararası Finansal Raporlama Standartlarına uyumlu olarak hazırlanan ve Güney Bağımsız Denetim ve Serbest Muhasebeci Mali Müşavirlik Anonim Şirketi tarafından denetlenen 01.01.2020 – 31.12.2020 hesap dönemine ait finansal tablolarımıza göre 36.467.200 -TL (konsolide) dönem karı elde edilmiş olup, bunun 11.769.746 -TL'si ilgili mevzuat uyarınca hesaplanan ana ortaklığa düşen net dönem karının, SPK'nın kar dağıtımına ilişkin düzenlemeleri, Kar Dağıtım Politikamız ve Esas Sözleşmemizin 19.maddesi'nde belirtilen esaslara çerçevesinde ve ekli kar dağıtım tablosuna uygun olarak:

i. Türk Ticaret Kanunu ve Sermaye Piyasası Kurulu'nun kâr dağıtımı ile ilgili düzenlemeleri ve kararları çerçevesinde hesaplanan net dağıtılabilir karın; brüt 11.769.746.-TL'lik kısmının nakit kar payı olarak ortaklara dağıtılması,

ii. Türk Ticaret Kanunu hükümleri uyarınca 2.396.348.-TL'nin genel kanuni yedek akçe ayrılması,

iii. Kalan karın geçmiş yıl karlarına eklenmesine,

iv. Pay sahiplerine dağıtılacak nakit kar payının dağıtımının 2021 yılı Haziran ayı içerisinde, tek seferde yapılması ve bu konuda Yönetim Kurulumuza yetki verilmesi

hususlarını içeren kar dağıtım önerisinin 2020 Yılı Olağan Genel Kurul Toplantısı'nda pay sahiplerimizin onayına sunulmasına,

2) İşbu kar dağıtım önerisinin 2020 mali yılına ilişkin Olağan Genel Kurul Toplantı tarihinden en az on beş gün önce Şirket merkez ve şubelerinde hazır bulundurulmasına, e-GKS sistemine yüklenmesine ve en geç 2020 faaliyet yılına ilişkin Olağan genel Kurul Toplantısı gündeminin ilan edildiği tarihte ekteki kâr dağıtım tablosu ile birlikte kamuyu aydınlatma platformunda (KAP) kamuya açıklanmasına,

katılanların oybirliği ile karar verdi.
