Item 8.01 Other Events

On August 16, 2011, Art’s-Way Manufacturing Co., Inc. issued a press release to announce that the negotiations to purchase the assets of Imperial Steel Tank Company had been terminated. The parties had not reached a definitive agreement at the time the negotiations were terminated.

The full text of the press release is attached as Exhibit 99.1 hereto and is incorporated by reference in this Current Report on Form 8-K as if fully set forth herein.
