Item 2.02 Results of Operations and Financial Condition

On April 13, 2009, Art’s-Way Manufacturing Co., Inc. (the “Company”), issued a press release announcing its first quarter financial results for the three months ended February 28, 2009. On April 15, 2009, the Company hosted a conference call discussing the same.

The full text of the press release and a transcript of the conference call are attached hereto as Exhibits 99.1 and 99.2, respectively, and are incorporated by reference in this Current Report on Form 8-K as if fully set forth herein. Please note that although the transcript attached hereto as Exhibit 99.2 indicates otherwise, the Company’s 2009 Annual Meeting of Stockholders will commence at 10:00 a.m. Central Daylight Standard Time, as stated in the Company’s Definitive Proxy Statement filed with the Securities and Exchange Commission on March 26, 2009.
