ARTEMIS AGREES $2 MILLION FUNDING AGREEMENT

Artemis Resources Limited (ASX Code: ARV) is pleased to advise that it has entered into a Convertible Note Agreement with Wimmer Financial LLP for a $2,000,000 facility to provide the Company with funds to further its exploration programme and for working capital.

Wimmer Financial is an international corporate advisory firm specialising in natural resources (mining, oil & gas, alternative energy) and real estate, with global reach through a network of close partners and clients all over the world.

The convertible note facility will expire in June 2016, has an interest rate of 10% per annum (payable in cash or shares at the noteholder’s election), and will be convertible into Artemis shares at the noteholder’s election at a 20% discount to the then prevailing 30 day VWAP of Artemis shares. Artemis will pay a facilitation fee to Wimmer Financial of $30,000 in Artemis shares.

The utilisation of the facility beyond the available placement capacity of ASX listing rules 7.1 and 7.1A will require shareholder approval, which the company will seek if and when this eventuates. In addition shareholder approval will be sought in the event that Wimmer Financial LLP’s interest in the Company by conversion would exceed 19.99% of the total issued share capital of the Company.
