Arribatec Group ASA – Approval of prospectus and updated key dates relating to rights issue

Reference is made to the stock exchange notice dated 14 November 2024 on the key dates relating to the rights issue of up to 350 million shares (the “Rights Issue”). On 13 January 2025 the combined listing and offer EEA prospectus (the “Prospectus”) has been approved by the Norwegian FSA.

Below is the key information relating to the Rights Issue:

- Date on which the terms and conditions of the preferential Rights Issue were announced: 11 November 2024

- Last day including right: 2 December 2024

- Ex-date: 3 December 2024

- Record Date: 4 December 2024

-Date of approval: 10 December 2024

-Maximum number of new shares: 350,000,000

-Subscription price: NOK 0,1

-Ratio preferential rights: 5.0307446 preferential subscription rights for each share held

-Subscription ratio: Each preferential right gives the right to subscribe for one new share

-Subscription period: 15 January at 09:00 until 29 January 2025 at 16:30.

-Manager: Arctic Securities AS

The preferential subscription rights will be issued in the VPS with ISIN NO0013455980 and listed on Oslo Børs with the ticker “ARRT”. The preferential subscription rights will be tradeable from 15 January 2025 until 23 January 2025 at 16:30 CET, and exercisable until 29 January 2025 at 16:30 CET. Subscription Rights that are not sold or exercised to subscribe for Offer Shares before the deadlines will have no value and lapse without compensation to the holder.
