Arribatec Group ASA: Disclosure of large shareholding

Reference is made to the private placement of new shares in Arribatec Group ASA (the “Company”) as announced by the Company on 7 April 2022 (the “Private Placement”) and 13 April 2022, where Ferncliff Listed Dai AS (“Ferncliff”) was allocated 50,000,000 shares, each at a price of NOK 0.50 per share. Ferncliff simultaneously entered into a share lending agreement of 50,000,000 existing shares owned by Ferncliff in order to facilitate settlement.

Ferncliff will shortly receive the allocated shares in the Private Placements and the Borrowed shares , and Ferncliff’s ownership interest in the Company has increased to approximately 24.3% through its holding of 166,554,032 shares in the Company. The ownership interest is calculated based on 684,903,064 shares outstanding in the Company after the issuance of the new shares in the Private Placement.
