ARRIBATEC SIGNS LOI TO ACQUIRE INTEGRA ASSOCIATES

enterprise value of GBP 1.5 million

(Oslo, Norway, 4 May 2021) Arribatec Solutions ASA (OSE: ARR, Arribatec) today announces an LOI to acquire UK-based Integra Associates (Integra), a global elite partner of Unit4, to create the world’s largest provider of Unit 4 ERP services and solutions.

Integra is UK's longest-standing Unit4 partner and has helped organisations improve key business processes through industry leading solutions and services. The company, a global elite partner of Unit4 and the 2020 global service partner of the year, has offices in Leicester and Manchester, UK, and consists of a team of 45 highly competent resources.

Integra has more than 100 customers, mainly in the UK, but also in the US and Europe, and subsidiaries of UK companies worldwide. Among the customers are Havas Group, easyJet, Alvarez and Marsal, DFØ (Norway), Buro Happold Consulting Engineers etc. The company expects revenues of GBP 4.5 million in 2021 and positive EBITDA.

The acquisition is based on an enterprise value of GBP 1.5 million, with GBP 1.125 million in cash and GBP 0.375 million in Arribatec shares at NOK 2.2 per share, plus an earn-out element. The transaction is subject to due diligence and other customary conditions and is expected to close during the second quarter of 2021.
