ORDINARY SHAREHOLDERS' MEETING OF ARRAS GROUP S.P.A.

Milan, 14th May 2025 – The Ordinary Shareholders' Meeting of Arras Group S.p.A. ("Arras Group" or the "Company"), a technological company for the real estate development of second homes mainly in Sardinia, listed on the professional segment of Euronext Growth Milan, was held today to discuss and decide on the following

AGENDA

1. Appointment of the new Board of Directors of the Company.

2. Miscellaneous.

The Shareholders' Meeting, legally constituted and valid to deliberate on the only item on the agenda, has postponed the appointment of the new Board of Directors to the next meeting, to be convened by the earliest due date, once the scouting phase of the professionals candidates for the office of Board Member and CEO has been completed, and to whose selection minority partner Jean-Christophe Babin has expressly announced, by message sent via certified e-mail to the Company only yesterday, 13 May 2025, that he does not intend to provide any support. Majority partner Enrico Arras has already received some high-profile applications, which are currently being evaluated, and further applications that will reach the company in the next few days will be evaluated together with a team of dedicated professionals.
