FIRST EXERCISE PERIOD OF THE "WARRANT ARRAS GROUP 2023-2026"
JULY 15, 2024 - JULY 29, 2024 (INCLUSIVE)
Milan, 9 th July 2024 – Arras Group S.p.A. ("Arras Group" or the "Company"), a technological company for the real estate development of second homes mainly in Sardinia, listed on the professionalsegment of Euronext Growth Milan, announces that on July 15, 2024, the first exercise period of the "Warrant Arras Group 2023-2026", ISIN code IT0005540643 (the "Warrants"), will open and close on July 29, 2024 (inclusive).
A total of 1.810.000 Warrants are currently outstanding.
Warrant holders are entitled to subscribe to the Conversion Shares, in the ratio of 1 (one) Conversion Share for every 2 (two) Warrants held, at a price per Conversion Share equal to the Offer Price increased by 10%, i.e. €1.10 ("Exercise Price").
Applications may be made on any bank business day during the period between July 15 and July 29, 2024, extremesincluded ("First Exercise Period") to the intermediary member of Monte Titoli S.p.A. with which the Warrants are deposited.
It is agreed that if the Warrant holders do not request to subscribe for the compendium shares by the final deadline ofthe First Exercise Period (July 29, 2024),they will lose the relevant right, without prejudice again to the right to exercise the Warrants in each of the subsequent exercise periods provided for in the "Warrant Arras Group 2023-2026" Regulations ("Regulations").
The compendium shares subscribed by Warrant holders will be made available for trading through Monte Titoli on the settlement day following the end of the last day of the First Exercise Period.
The compendium shares subscribed to in exercise of the Warrants will have the same dividend entitlement as the Shares traded on Euronext Growth Milan on the date of issue of the Warrants. The Exercise Price shall be paid in full at the time ofsubmission of the application, with no additional fees and expenses charged to the applicants.
